These GTC are available in German and other languages. The German version is legally binding. Other language versions are for informational purposes only.
A. Exclusive Applicability of These Terms
These General Terms and Conditions of Promed GmbH [Lindenweg 11, D-82490 Farchant, Germany; hereinafter: the Seller] apply to business relationships between the Seller and the Buyer for the sale of goods. Different general purchasing conditions from the Buyer will not be accepted unless explicitly agreed upon in writing by the Seller.
B. Conclusion of Contract
The Seller’s offers are non-binding and subject to availability. The purchase contract is concluded only when the Buyer receives written confirmation of the sale from the Seller, including in electronic format.
C. Prices and Features
The prices stated at the time of ordering include applicable German VAT.
Shipping and payment costs are listed separately.
D. Payment, Retention, and Offsetting
Payment methods: advance payment, cash on delivery, and PayPal. The Seller reserves the right to restrict available payment methods.
The right to withhold payment can only be exercised if it is directly related to the respective purchase contract.
Offsetting is only permitted for undisputed or legally established claims.
E. Shipping and Delivery Times
Deliveries are made to the address specified in the order.
Delivery times: within 30 days from contract conclusion unless otherwise specified.
The risk of shipment passes to the Buyer in accordance with § 447 BGB.
F. Invoice Dispatch
Invoices are sent by mail or email in PDF format. The Buyer must promptly notify the Seller of any changes to their email address.
G. Retention of Title
The goods remain the property of the Seller until full payment has been received.
H. Warranty and Liability
The Seller is liable for material or legal defects in accordance with applicable laws. Liability for slight negligence is excluded unless there is a violation of essential contractual obligations.
I. Buyer's Right of Withdrawal
The right of withdrawal does not apply to commercial intermediaries. The Buyer has the right to withdraw from the contract within 14 days without providing any reason. Details and the withdrawal form are available at:

K. Specific Conditions for Commercial Intermediaries
Prices are ex-works, excluding packaging costs.
Free shipping for orders over €200 net (within Germany).
Payment within 10 days with a 2% discount or within 30 days without deductions.
L. Severability Clause
If any provision of these Terms and Conditions is found to be invalid, the remaining provisions shall remain in full force and effect.
